Commercial Lease Administration: The One-Page Abstract and the Critical Dates

Commercial real estate lease administration is the work of tracking what a signed lease requires, and when, so that nothing is paid or missed by accident. It rests on two tools. The first is a lease abstract, a one-page summary of the terms that someone who never read the lease could act on. The second is a calendar of critical dates: commencement and rent commencement, the notice window for each option, the audit deadline on operating expense statements, and expiry. Build both in the week after signing, while the people who negotiated the deal still remember what each clause was meant to do.

The lease abstract, field by field

Each line is a field, with its meaning in a New York office lease.

  • Premises: the floor and its rentable square feet, the figure rent is charged on.
  • Commencement and rent commencement: the day the term begins and the day base rent begins. Free rent or a construction period sits between them.
  • Base rent and escalations: the rent for each year, and the fixed annual increase or the formula that sets it.
  • Base years and your share: the reference years for operating expenses and taxes, and your percentage of any increase.
  • Security: the amount, whether it is cash or a letter of credit, any burn-down, and the date the letter of credit itself expires.
  • Options: renewal, expansion, first offer and termination, each with its notice window.
  • Assignment and sublet: whose consent is needed, and on what standard.
  • The guaranty: who signed it, and what releases that person.
  • Restoration and holdover: what must be removed at the end, and the rate charged for staying past it.
  • Notices: the addresses and the delivery method the lease requires.

Critical dates to put on the calendar in week one

The calendar tells you when to act on what the abstract says. Enter these the week you sign, each with an early reminder:

  • Rent commencement, and the month the free rent ends.
  • The opening and closing day of every option window. A renewal option is usually exercised months before expiry, and a late notice generally loses it.
  • The deadline to dispute or audit each year's operating expense statement.
  • Burn-down dates for the security, and the expiry of the letter of credit.
  • Lease expiry, with a marker 18 months earlier for the start of a market check.

Checking the escalation and operating expense bills

The abstract is also the answer key for the bills. A fixed escalation should arrive on the date and at the rate the lease states, typically 2.5 to 3 percent a year. A pass-through is harder to check: the landlord bills an estimate each month, then sends a statement after the year closes that charges your share of the building's cost increase over the base year.

Look at three things on that statement: that the base year is the one in your lease, that your share matches your square footage over the building's, and that nothing the lease excludes has been included. Operating expenses covers base years, exclusions and audit rights. Whether you may audit, and for how long, is set by the lease, and your attorney should confirm it.

The market your renewal date will be measured against

The last date on the abstract is expiry, and what the lease is worth on that day depends on what else you could rent. Which critical dates in a commercial lease are missed most often?

The renewal option window, the deadline to audit an operating expense statement, and the expiry of the letter of credit. Each passes silently: no bill arrives and nobody calls.

How is rent commencement different from lease commencement?

Lease commencement is when the term starts, usually on delivery of the space. Rent commencement is when base rent starts, which is later if free rent or a buildout period comes first. The expiry date is counted from one of them, so the abstract should record both and say which.

How often should the abstract be updated?

At every amendment, and whenever a date on it passes or changes: an option exercised, the security reduced, a letter of credit renewed.
